Faraday Copper Announces C$30 Million Bought Deal Financing

VANCOUVER, Feb. 2, 2023 - Faraday Copper Corp. ("Faraday" or the "Company") (TSX: FDY) (OTCQX: CPPKF) is pleased to announce it has entered into an agreement with a syndicate of underwriters led by Canaccord Genuity Corp. on behalf of a syndicate of underwriters (collectively, the "Underwriters"), pursuant to which the Underwriters have agreed to purchase, on a bought deal basis, 37,500,000 common shares in the capital of the Company (the "Common Shares") at a price of C$0.80 per Common Share for gross proceeds to the Company of C$30,000,000 (the "Offering"). Fort Capital Partners acted as special advisor to the Company in relation to the Offering and other strategic matters.
The Company will grant the Underwriters an option to purchase up to an additional 5,625,000 Common Shares (the "Over-Allotment Option Common Shares" and together with the Common Shares, the "Offered Securities") to cover over-allotments, if any, and for market stabilization purposes at a price of $0.80 per Over-Allotment Option Common Share for additional gross proceeds of up to C$4,500,000 (the "Over-Allotment Option" and together with the Underwritten Offering, the "Offering"), exercisable in whole or in part, at any time on or prior to the date that is 30 days following the Closing Date (as defined herein).
The Company intends to use the net proceeds from the Offering to advance its Copper Creek Project, located in Arizona, U.S., to acquire certain ranching land located adjacent to Copper Creek Project, and for general working capital purposes.
The Common Shares will be issued by way of a prospectus supplement that will be filed in all provinces and territories of Canada, other than Quebec, under the Company's base shelf prospectus dated October 21, 2022. The Common Shares may also be sold in the United States on a private placement basis pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended (the "U.S. Securities Act"), and other jurisdictions outside of Canada provided that no prospectus filing or comparable obligation arises.
The Offering is scheduled to close on or about February 14, 2023 and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and other approvals including the approval of the Toronto Stock Exchange and the securities regulatory authorities.
